Plain-English summary

MBIE's phase two discussion document seeks views on New Zealand's priorities for capital-market reform, its position in global competition for capital, and regulatory responses to digital and AI-related financial-market innovation.

It covers eight targeted areas: product disclosure statements; director and issuer liability; Catalist market settings; Unlisted Securities Exchange audit requirements; crowdfunding and peer-to-peer lending limits; wholesale investor settings; auditor liability; and broker activity and offer visibility. The document does not propose a preferred solution.

Submissions should use MBIE's template and be emailed to financialmarkets@mbie.govt.nz by 5pm on 25 August 2026.

Why it matters

The review could change obligations and liability settings for businesses, directors, issuers, auditors and intermediaries.

Changes to investor, crowdfunding and peer-to-peer lending settings could affect how businesses raise capital.

The discussion will inform the Government's priorities before preferred reforms are developed.
